Registered Agent Service Terms
Version 1.6Effective date: October 20, 2026
These Terms apply where you appoint Veritex LLC, doing business as Veritex Registered Agent Services, as registered agent. They supplement the Terms of Service and control in the event of conflict as to registered agent service.
1. Appointment
By purchasing registered agent service and designating Veritex in a filing with the Commonwealth of Virginia, you appoint Veritex as your registered agent for service of process and official correspondence at the Virginia address we provide.
Appointment is effective when the Commonwealth accepts the designation, not when payment is made.
2. What we do
- Maintain a registered office in the Commonwealth of Virginia as required by law
- Accept service of process, official notices, and correspondence delivered to us on your behalf
- Record receipt and notify you promptly, using the contact information on file
- Forward or make available the items we receive, by the method described at the time of service
3. What we do not do
We are a recipient and conduit, not a representative. Specifically, Veritex does not:
- Represent you in any legal proceeding
- Provide legal advice about anything we receive
- Respond, appear, or take action on your behalf in response to service of process
- Assess the urgency, significance, or legal consequence of any document
- Monitor deadlines contained in documents we forward
- Guarantee that any document reaches you in time to meet any deadline
Receiving a document does not mean Veritex has acted on it. Any action required is yours.
4. Your obligations
4.1 Current contact information
You must keep your email address, mailing address, and telephone number current. Notification is sent to the contact information on file. Failure to maintain accurate contact information, or failure to monitor it, may result in your not receiving time-sensitive legal documents. Veritex is not responsible for consequences arising from outdated contact information.
4.2 Monitoring
You are responsible for monitoring the notification channel you have designated and for retrieving items we make available.
4.3 Permitted use
The registered agent address may be used solely for registered agent purposes as permitted by law. It is not a general business address, mailing address, or physical presence unless you have separately purchased a service providing that.
5. Service of process — timing
We will notify you promptly after receiving service of process. However, legal deadlines run from the date of service, not from the date you receive our notification. Time may be short. Treat any notice of service of process as urgent.
6. Term and renewal
- Term. The Registered Agent service is provided for successive 12-month terms. The first term begins on the date of purchase or, for a qualifying Virginia formation, on the date of formation.
- Continuing service. The service continues into each new annual term unless the customer notifies Veritex of cancellation before the current term ends, by email to info@veritexadvisory.com, by telephone, or in writing.
- Renewal notice and fee. At least one month before each term ends, Veritex will email the customer a renewal notice and payment request. The annual fee, currently $49.00, is due when the current term expires. Veritex does not store payment card details or charge a card without the customer completing payment.
- Cancellation. A customer who cancels remains responsible for appointing a successor registered agent with the Virginia State Corporation Commission. Cancellation takes effect at the end of the current term. Fees for a term already begun are not refundable except as stated in the Refund & Cancellation Policy.
Veritex's termination and resignation rights are governed by the other provisions of these Terms.
7. Termination and resignation
7.1 Your cancellation
Cancellation is governed by Document 3. Billing stops as described there.
Cancelling billing does not by itself remove Veritex as your registered agent of record. Until a successor is properly appointed with the Commonwealth, Veritex may remain the agent shown in public records.
7.2 Your obligation to appoint a successor
You must appoint a successor registered agent with the Commonwealth of Virginia before or promptly upon cancellation. Virginia law requires every entity to continuously maintain a registered agent. Failure to do so may result in penalties, loss of good standing, or administrative termination of your entity.
Veritex is not responsible for consequences arising from your failure to appoint a successor.
7.3 Our resignation
Veritex may resign as your registered agent in accordance with Virginia law, including for non-payment, for use of the service for an unlawful purpose, for breach of these Terms, or where we can no longer lawfully or practically serve. We will provide notice to you and file as required by law. Resignation becomes effective as provided by statute, whether or not you have appointed a successor.
7.4 After termination
After registered agent service ends, we have no obligation to accept, hold, or forward anything delivered to us on your behalf, and may return or refuse it.
8. Limitation
Our liability arising from registered agent service is limited as stated in Section 11 of the Terms of Service. Nothing in these Terms makes Veritex responsible for the legal consequences of any document delivered to us, or for any deadline, obligation, or claim contained in it.
