Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Veritex LLC, doing business as Veritex Advisory ("Veritex," "we," "us," or "our"). By creating an account, purchasing a service, or otherwise using our platform, you agree to be bound by these Terms.

1. Services Offered

Veritex provides business-support services, which may include:

  • LLC and corporation formation filings
  • Virginia registered agent service
  • EIN (federal tax ID) application preparation and filing
  • Virtual business address and physical mailbox services (Virginia)
  • Operating agreements and corporate bylaws preparation
  • Ongoing compliance monitoring and annual report filing

Registered agent, virtual address, and physical mailbox services are offered in Virginia only. Formation, EIN, compliance, and advisory services may be available nationwide as described on the applicable service page.

2. Not Legal, Tax, or Financial Advice

Veritex is not a law firm, an accounting firm, or a financial advisor, and does not provide legal, tax, or financial advice. Information provided on our website or through our services is for educational and business-support purposes only. If you need legal or tax advice, please consult a licensed attorney or qualified tax professional.

3. Your Account and Information

You are responsible for the accuracy of information you provide, including business names, member and director details, addresses, and other filing data. Veritex prepares and submits filings based on the information you supply and is not responsible for errors arising from inaccurate or incomplete information.

4. Payment Terms

  • One-time services (such as LLC or corporation formation, EIN filing, operating agreements, bylaws, and annual report filing) are billed as a single charge at checkout. State filing fees and other government fees are separate from Veritex service fees and are disclosed before purchase.
  • Registered agent service is billed on an annual subscription of $49 per year. When bundled with a Virginia formation, the first year is included at no additional cost; renewals are billed automatically each year unless cancelled.
  • Virtual address, physical mailbox, and compliance monitoring are recurring subscriptions billed on a monthly or annual cadence as disclosed on the applicable service page.
  • All payments are processed by Stripe. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis until you cancel.

5. Cancellations and Refunds

Cancellations, refunds, and subscription changes are handled manually on a case-by-case basis to ensure they are reviewed fairly. To request a cancellation or refund, contact info@veritexadvisory.com.

Government filing fees are non-refundable once they have been submitted to the applicable state or federal agency. Refund eligibility on Veritex service fees depends on the status of the work performed at the time of the request; we will confirm any refund amount before it is issued.

6. Registered Agent Service

As your registered agent in Virginia, we will accept service of process and official state correspondence on behalf of your entity and promptly forward it to you at the contact information on file. You are responsible for keeping your contact information current and for responding to any documents we forward.

7. Acceptable Use

You agree not to use our services for any unlawful purpose, to misrepresent your identity or authority, to abuse our systems, or to interfere with other users' access to the platform.

8. Intellectual Property

The Veritex Advisory name, logo, website content, and platform software are the property of Veritex LLC and are protected by applicable intellectual property laws. You may not copy, modify, or redistribute our content without our written permission, except for documents we prepare and deliver to you for your own business use.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Veritex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any filing will be accepted by a government agency within any specific timeframe.

10. Limitation of Liability

To the fullest extent permitted by law, Veritex, its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of our services. Our total aggregate liability for any claim relating to the services will not exceed the amount you paid to Veritex for the specific service giving rise to the claim in the twelve (12) months preceding the event.

11. Indemnification

You agree to indemnify and hold harmless Veritex from any claim or demand arising out of information you provided, your use of the services, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or our services will be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above and, where appropriate, by additional notice. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
